16 J-League's teams, the top eleven teams of the Japan Football League in first half season of the League, the top four teams of Kanto College League in last autumn season, the top two teams of Kansai Students League in spring season and 47 representative teams of administrative divisions are qualified for the competition.

Since this competition, a part of category 2 teams, 126 High schools and 15 clubs (under-18), participated the preliminary competitions besides 23 clubs participated the preliminary pre-competitions.

If two teams are level at the end of regulation time, extra time shall be played.
If the match is still undecided, the winning team (in the final, the winner) shall be decided in a penalty shoot-out.

Verdy as the winner shall be eligible to play in Asian Cup Winners Cup 1997/98.

Verdy as the winner shall be eligible to play in Super Cup 1997.
